This Website Usage Agreement And Privacy Policy (the "Policy") for the ECCHO Website describes the type of information ("Information") that ECCHO obtains from Users of the ECCHO Website. This Policy also sets forth certain restrictions on Users access to, and use and disclosure of, information obtained from the ECCHO Website. By accessing the ECCHO Website, you agree to the terms and conditions set forth in Section 3 below regarding your use of any information obtained from the ECCHO Website.

This Policy applies to all users of the ECCHO Website. Permissible users of the ECCHO Website include Members of ECCHO (including their authorized employees) ("Members"), certain authorized organizations (and their authorized employees) that provide support services to Members ("Authorized Organizations"), and visitors to the ECCHO Website. Members, Authorized Organizations and visitors are collectively referred to as "Users" in this Policy.

The ECCHO-provided services and the ECCHO Website are for use only by financial institutions and other financial services companies. ECCHO does not provide services to consumers and does not collect information on consumers.

1. Information Provided to ECCHO By Users

ECCHO Members and Authorized Organizations may provide the following types of information to ECCHO through the Website: (i) contact information for the User and its employees; (ii) technical and operational information about Users' or other Members' electronic check exchange programs; (iii) billing and invoice information, and (iv) other information as described at the time it is collected on the Website.

ECCHO also may collect email addresses from visitors to the Website who voluntarily ask ECCHO to send them email updates regarding ECCHO. ECCHO may collect technical information relating to Users' visits to the ECCHO Website, such as IP addresses, for administrative purposes.

2. ECCHO Use and Disclosure of Information Collected Through Website

ECCHO will use and disclose Information to provide the ECCHO services to other Members and Authorized Organizations and in connection with carrying out ECCHO's business. For example, ECCHO may provide Information about Users to other Members to permit Members to contact each other in connection with developing electronic image exchange programs.

ECCHO also will disclose Information on Users as may be required by law, regulation or court order or action, or if ECCHO believes the disclosure is necessary to protect ECCHO, its property, Members or other persons from fraud, injury, harm or interference. ECCHO will not sell or rent Information to third parties for marketing purposes.

3. Restrictions on Use and Disclosure of Information By Users

Members and Authorized Organizations may use the ECCHO Website to access certain ECCHO databases containing contact information and other information regarding other Members and Authorized Organizations. Each User hereby agrees that it will only use information on other Members and Authorized Organizations obtained through the ECCHO Website in connection with check image exchange under the ECCHO Rules. Each User hereby agrees that it will not use any information from the ECCHO Website for any other purposes, including for marketing any products or services to other Users.

4. Other Matters

ECCHO may, in the course of its business, sell or transfer all or portions of its business and/or assets or be acquired by, or merge into, another company. Information on Users may be one of the transferred assets. In the event ECCHO establishes one or more affiliates, ECCHO may transfer Information on Users to such affiliates. ECCHO reserves the right to amend this Policy at any time by posting a revised Policy on its Website. Any amendment will be effective for all current and former Users upon posting to the ECCHO Website.
